New Delhi, February 25 (NationPress) - On Wednesday, Reliance Industries Limited revealed a significant transformation in the ownership framework of its step-down subsidiary, Reliance Enterprise Intelligence Limited (REIL), following the completion of a substantial share allotment valued at Rs 853.20 crore.

This development follows REIL's issuance of 85,31,75,000 equity shares with a face value of Rs 10 each at par.

The overall transaction is priced at Rs 853.20 crore, establishing a strategic alliance between Reliance and the global technology leader Meta Platforms, Inc., via its subsidiary.

In this share allotment, 59,66,22,500 shares valued at Rs 596.60 crore were allocated to Reliance Intelligence Limited, a wholly owned subsidiary of Reliance Industries.

Additionally, 25,65,52,500 shares worth Rs 256.60 crore were assigned to Facebook Overseas, Inc., the wholly owned subsidiary of Meta Platforms.

As a result of this share allotment, Reliance Intelligence Limited now possesses a 70 percent stake in REIL, while Facebook Overseas holds the remaining 30 percent.

This transaction marks a shift, as REIL is no longer a step-down wholly owned subsidiary of Reliance Industries and will now operate as a step-down subsidiary with Meta Platforms as a minority stakeholder.

The company confirmed that all essential approvals for the investment have been secured. It emphasized that the transaction between REIL and Facebook Overseas does not constitute a related party transaction.

However, the allotment to Reliance Intelligence Limited qualifies as a related party transaction, albeit executed on an arm’s length basis.

Reliance Industries also stated that none of its promoters, promoter group, or affiliated companies have any involvement in this transaction.

This announcement was made under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The company indicated that this move follows earlier disclosures made on August 29, 2025, September 10, 2025, and October 25, 2025, suggesting that this partnership has been in development for several months.
