India consumer and retail sector logs 127 deals worth $1.92 billion in Q3 2026
Synopsis
Key Takeaways
India's consumer and retail sector recorded 127 deals valued at $1.92 billion in the third quarter of 2026, spanning mergers and acquisitions (M&A), private equity and venture capital (PE/VC), and public-market transactions, according to a report by Grant Thornton Bharat released on Monday, 26 October 2026. The figures signal sustained investor appetite for branded consumer businesses even as deal structures grow more selective.
M&A and PE/VC Activity
M&A and PE/VC activity combined for 113 deals worth $948 million in Q3 2026, representing a 19 per cent rise in volume and a 3 per cent rise in value quarter-on-quarter, excluding IPOs and QIPs. M&A alone accounted for 29 deals worth $229 million, up from 19 deals worth $179 million in Q2.
Domestic transactions dominated the M&A landscape, comprising 76 per cent of deal volumes and 86 per cent of deal value — a pattern that points to consolidation driven by Indian strategic buyers rather than cross-border interest. Textiles, apparel and jewellery contributed 59 per cent of M&A value, while personal care and FMCG also attracted strategic buyers looking to strengthen brand portfolios.
PE/VC Leads Dealmaking
PE/VC activity remained the single largest driver, accounting for 84 deals worth $719 million — 74 per cent of deal volumes and 76 per cent of combined M&A and PE/VC deal value. Investment activity grew 11 per cent quarter-on-quarter by volume, with early-stage and mid-market transactions continuing to anchor deal flow.
Notably, retail technology attracted the largest disclosed investment value among segments. Personal care recorded a six-fold increase in deal value, while e-commerce emerged as the most active segment by volume for the first time since Q4 2024, logging 17 PE deals with volumes up 42 per cent. Combined personal care and FMCG deals rose to 20 from 12 in the previous quarter.
Public Market Activity Strengthens
IPOs and QIPs contributed $975 million, accounting for 51 per cent of overall deal value in Q3. This included nine IPOs raising $713 million and five QIPs raising $262 million, reflecting robust appetite for listed consumer plays amid a broad market rally.
Investor interest remained concentrated in branded consumer businesses, particularly jewellery, apparel and lifestyle categories, the report noted.
What Industry Leaders Are Saying
Naveen Malpani, Partner and Consumer, Retail & E-commerce Industry Leader at Grant Thornton Bharat, said: 'India's consumption story continues to attract investor interest, but capital is increasingly directed towards businesses with differentiated brands, strong category positioning and the ability to scale profitably.'
This comes amid a broader trend of quality-over-quantity capital deployment across Indian consumer segments, as global PE funds grow more cautious about burn-heavy growth models. The Q3 numbers suggest the market is rewarding businesses that can demonstrate both brand equity and path-to-profitability — a shift that mirrors investor behaviour in mature markets. How this selectivity plays out in Q4, particularly if global macro headwinds persist, will be closely watched.
