New Delhi, July 28 (NationPress) Sona BLW Precision Forgings Ltd (Sona Comstar) announced on Monday that former Chairperson Rani Kapur, the mother of the late Sunjay Kapur, has not held any position, either directly or indirectly, at Sona Comstar since at least 2019 and possesses no locus standi on any matter concerning the company.
In a recent filing to the stock exchange, the Haryana-based firm clarified that she is not a shareholder, director, or officer within the Company.
“Any suggestions that she was pressured into signing documents or that her approval is necessary for company matters are entirely unfounded and legally invalid,” the company stated in its filing.
Sona Comstar further warned against what it labeled as “irresponsible statements and misinformation” circulating in the media, asserting that such claims are detrimental to shareholder value.
“The ongoing spread of false narratives in the media to further personal legal agendas has led to a decline in shareholder value. With over 400,000 public shareholders, these actions are not just reckless but severely damaging to the company's interests. It is crucial that those responsible for this value deterioration are held accountable,” the filing continued.
Additionally, the firm highlighted that the re-appointment of Jeffrey Mark Overly for a second term as an Independent Director and the appointment of Priya Sachdev Kapur as a Non-Executive Director to the Board were all in accordance with relevant laws and corporate governance standards.
“Notably, both appointments would have been approved even without any votes from the promoter entity. Their appointments received overwhelming support from shareholders—98.9 percent and 99.4 percent, respectively—demonstrating broad investor confidence,” Sona Comstar emphasized.
Rani Kapur previously communicated with the Board of Directors and Shareholders of Sona Comstar, requesting that no Directors be appointed in the Company or any other Sona Group Company and further unconditionally defer the AGM scheduled for Friday.
In her letter last week, Rani Kapur accused individuals of coercing her into signing certain documents, which she claims are being misused to seize control of the company and undermine the family legacy following her son's death. She asserted that according to the ‘Will’ of her late husband, Dr. Surinder Kapur, the founder of Sona Comstar and the Sona Group, she is the majority shareholder and the sole authority to represent the family's interests within the company/Sona Group.
“It is regrettable that while the family and I are still grieving, some individuals have chosen this moment to attempt to take control and usurp the family legacy,” her letter stated.
Furthermore, since the sudden passing of businessman and actress Karisma Kapoor's former spouse, Sunjay Kapur, there has been much speculation regarding Karisma and her children Kiaan and Samaira’s share in his substantial estate.
To clarify, sources close to the family have indicated that Karisma is not involved in or has any stake in the property matters of her late husband. The sources further affirmed that Karisma is in no way associated with any inheritance or property-related issues.
